Terms of Service

These Terms of Service govern your use of CapProof, including CapProof.com and related software, features, reports, documentation tools, and services.

By using CapProof, you agree to these Terms. If you do not agree, do not use the service.

1. What CapProof Does

CapProof is a mobile-first field documentation and evidence reporting tool. It helps users capture notes, photos, checklist responses, site conditions, issues, client requests, follow-up items, and project records.

CapProof may also generate AI-assisted summaries and reports based on user-provided information.

CapProof is a documentation tool. It is not a law firm, insurance adjuster, accounting platform, payroll system, safety compliance service, or guarantee of payment.

2. Eligibility

You must be able to enter into a binding agreement to use CapProof. If you use CapProof on behalf of a company, organization, or client, you represent that you have authority to do so.

3. Accounts and Access

You are responsible for:

  • Maintaining accurate account information
  • Protecting your login credentials
  • Managing access for your team or workspace
  • Ensuring users under your workspace follow these Terms
  • Promptly notifying us of unauthorized access or security concerns

We may suspend or restrict access if we believe an account is being misused, creates security risk, violates these Terms, or may harm CapProof or others.

4. User Content

User Content includes notes, photos, checklist responses, project records, reports, captions, addresses, client information, uploaded files, and any other information users submit to CapProof.

You retain ownership of your User Content. By using CapProof, you grant us the right to host, store, process, display, transmit, and use User Content as needed to provide and improve the service.

You are responsible for ensuring that your User Content is accurate, lawful, and uploaded with appropriate permission.

5. Field Documentation and Evidence

CapProof helps organize field documentation, but it does not guarantee that any note, photo, report, or evidence ledger will be legally admissible, accepted by a client, approved by an insurer, sufficient for a dispute, or enough to recover payment.

Users are responsible for reviewing reports, preserving original records when needed, and following applicable legal, contractual, workplace, insurance, and professional requirements.

6. AI-Assisted Content

CapProof may use AI to help summarize evidence, identify possible impact items, organize report sections, and draft follow-up language.

AI-generated content may be incomplete, inaccurate, misleading, or inappropriate for a specific situation.

You agree that:

  • AI output must be reviewed before use
  • AI output should not be treated as professional legal, insurance, financial, safety, or compliance advice
  • CapProof does not decide whether work is billable, legally owed, code compliant, insured, or recoverable
  • You are responsible for final decisions and communications based on reports

7. Acceptable Use

You agree not to use CapProof to:

  • Violate any law, regulation, contract, or third-party right
  • Upload content you do not have permission to use
  • Secretly record, surveil, or document people where prohibited
  • Upload unlawful, defamatory, harassing, abusive, or discriminatory content
  • Upload highly sensitive personal information unless necessary and lawful
  • Interfere with the service or attempt unauthorized access
  • Reverse engineer, scrape, attack, overload, or compromise the platform
  • Use CapProof to make false, misleading, fraudulent, or bad-faith claims

8. Customer, Client, and Third-Party Information

If you enter information about homeowners, clients, tenants, subcontractors, workers, properties, claims, or businesses, you are responsible for collecting and using that information lawfully.

You are responsible for any required notices, consents, approvals, or contractual permissions.

9. Photos and Property Documentation

Photos may capture private property, people, identifying details, addresses, jobsite conditions, damage, or work performed.

You are responsible for ensuring photos are captured and uploaded lawfully and appropriately.

CapProof is not responsible for disputes caused by improper photo capture, misuse of images, unauthorized sharing, or inaccurate documentation.

10. Subscriptions, Fees, and Payment

Some features may be free, private, beta, paid, or subscription-based.

If paid services are offered, pricing, billing terms, renewal terms, cancellation rules, and refund policies will be provided at the time of purchase or subscription.

Failure to pay required fees may result in suspension or termination of access.

11. Beta and Early Access

CapProof may be offered as a beta, pilot, early access, or limited availability product.

Beta features may change, break, be removed, or produce unexpected results. We may modify or discontinue beta features at any time.

You should not rely on CapProof as your sole recordkeeping, legal, safety, financial, or compliance system.

12. Service Availability

We aim to keep CapProof available and reliable, but we do not guarantee uninterrupted access.

The service may be unavailable due to maintenance, updates, outages, provider issues, security events, or other causes.

13. Data Backup

CapProof may store and organize project records, but users should maintain their own backups of important business, legal, financial, inspection, or project records.

CapProof is not responsible for loss of data where backups, exports, or independent records should reasonably have been maintained.

14. Third-Party Services

CapProof may use third-party providers for hosting, storage, authentication, analytics, AI processing, and other functions.

We are not responsible for third-party service outages, changes, terms, security incidents, or limitations beyond our reasonable control.

15. Intellectual Property

CapProof, including its name, logo, design, software, workflows, reports, templates, and brand materials, is owned by CapProof or its licensors.

You may not copy, resell, reverse engineer, or create competing products from CapProof's software, designs, templates, or proprietary materials except as allowed by law or written agreement.

16. Feedback

If you provide ideas, suggestions, feedback, feature requests, or improvements, you allow us to use them without restriction or compensation.

Feedback helps improve products. We need the right to use feedback without creating an obligation to compensate or credit the person who provided it.

17. Termination

You may stop using CapProof at any time.

We may suspend or terminate access if you violate these Terms, create risk, fail to pay required fees, misuse the service, or if we discontinue the service.

After termination, access to some data may be limited or unavailable.

18. Disclaimers

CapProof is provided as is and as available.

To the fullest extent allowed by law, we disclaim warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, and reliability.

CapProof does not guarantee:

  • Payment recovery
  • Legal admissibility
  • Insurance approval
  • Claim approval
  • Code compliance
  • Safety compliance
  • Accuracy of AI summaries
  • Acceptance of reports by clients, builders, insurers, courts, employers, or agencies

19. Limitation of Liability

To the fullest extent allowed by law, CapProof will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost business, lost data, lost opportunities, or reputational harm.

Our total liability for any claim related to CapProof will not exceed the amount you paid to use CapProof in the three months before the claim, or $100 if you paid nothing.

20. Indemnification

You agree to defend, indemnify, and hold harmless CapProof from claims, damages, losses, liabilities, costs, and expenses arising from:

  • Your use of CapProof
  • Your User Content
  • Your violation of these Terms
  • Your violation of law or third-party rights
  • Your misuse of reports, photos, AI output, or documentation

21. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we may notify users through the app, by email, or by posting updated Terms.

Continued use of CapProof after changes means you accept the updated Terms.

22. Governing Law

These Terms are governed by the laws of the State of Michigan, without regard to conflict of law principles, unless applicable law requires otherwise.
